The key points of this regime are summarized below:<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Main features:<\/h2>\n\n\n\n<h3 class=\"wp-block-heading\">Digital Constitution:<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>It does not require a public deed or the intervention of public notaries, although its use is optional.<ul><li>It is carried out through the electronic system of the Ministry of Economy.<\/li><\/ul>\n<ul class=\"wp-block-list\">\n<li>Every shareholder must have a valid e-signature.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">Integration:<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>It may be made up of one or more shareholders.\n<ul class=\"wp-block-list\">\n<li>Shareholders may not control other commercial companies mentioned in article 1 of the Law, if this implies direct administration or control.<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">Income limit:<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Annual income must not exceed $7,076,469.38 (amount updated annually according to article 17-A of the Federal Tax Code). If this limit is exceeded, the company must be transformed into another regime.<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">Denomination:<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Must include the words &quot;Simplified Joint Stock Company&quot; or its abbreviation &quot;SAS&quot;<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">Requirements for incorporation (Article 262):<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Have at least one shareholder.<\/li>\n\n\n\n<li>Have a naming authorization issued by the Ministry of Economy.<\/li>\n\n\n\n<li>Agree to the bylaws that are available in the electronic system.<\/li>\n\n\n\n<li>Possess the e.signature of all shareholders.<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">Operating rules:<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Minimum social statutes:<\/strong> They must include name, corporate purpose, administration, share capital, shareholder rights, among others.<\/li>\n\n\n\n<li><strong>Actions:<\/strong> They must be paid in full within one year of incorporation.<\/li>\n\n\n\n<li><strong>Financial Reports:<\/strong> It is mandatory to file an annual report in the electronic system; failure to do so for two consecutive years may lead to the dissolution of the company.<\/li>\n\n\n\n<li><strong>Shareholders&#039; meeting:<\/strong> It is the supreme body of the company and can be held in person or electronically.
