What you should know before using a US LLC"},"content":{"rendered":"<p>Many Mexican entrepreneurs have heard that starting a business in Delaware (USA) is quick, cheap, and confidential. What few know is that, from a Mexican tax perspective, <strong>An LLC in Delaware can pose a tax risk<\/strong>, especially if it is used to receive income that does not accrue in Mexico.<\/p>\n\n\n\n<p><\/p>\n\n\n\n<p>In this article I explain why Delaware <strong>can be considered a<a href=\"https:\/\/taxid.mx\/english\/que-es-un-refipre-y-por-que-puede-causarte-problemas-fiscales-si-no-lo-conoces\/\"> Preferential Tax Regime (REFIPRE)<\/a><\/strong> by the SAT in accordance with article<a href=\"https:\/\/taxid.mx\/english\/que-es-un-refipre-y-por-que-puede-causarte-problemas-fiscales-si-no-lo-conoces\/\"> 176 of the Income Tax Law<\/a>, and what implications it has for you if you are a tax resident in Mexico.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">What is Delaware and why is it so popular for business creation?<\/h2>\n\n\n\n<p>Delaware is a U.S. state with a very flexible legal framework. The reasons why thousands of companies choose to incorporate there include:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Fast, online incorporation<\/li>\n\n\n\n<li>It is not required to disclose the beneficial owners<\/li>\n\n\n\n<li>There are no state taxes if you do not physically operate in Delaware.<\/li>\n\n\n\n<li>Affordable maintenance (approximately USD $300 per year)<\/li>\n\n\n\n<li>Possibility of being treated as a transparent entity for tax purposes<\/li>\n<\/ul>\n\n\n\n<p>This has led many Mexican businessmen to use <strong>LLCs in Delaware<\/strong> to receive payments from abroad, protect assets, or make investments. However, this may have tax consequences in Mexico.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">When are you considered to be in a REFIPRE?<\/h2>\n\n\n\n<p>In Mexico, <strong>There is no list of countries or jurisdictions considered as REFIPRES<\/strong>. On the other hand, the Income Tax Law establishes a <strong>objective criterion<\/strong>:<\/p>\n\n\n\n<blockquote class=\"wp-block-quote is-layout-flow wp-block-quote-is-layout-flow\">\n<p>Income is considered to be obtained through a REFIPRE when said income is subject to an effective ISR rate. <strong>lower than the 75% that would be caused in Mexico<\/strong>.<\/p>\n<\/blockquote>\n\n\n\n<p>This means that <strong>An LLC in Delaware may fall under the REFIPRE assumption<\/strong> if the income it generates <strong>They do not pay income tax in the US nor do they accumulate correctly in Mexico.<\/strong>These types of structures often defer or avoid paying taxes, which is precisely what Mexican legislation seeks to prevent.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Tax consequences if you operate with an LLC in REFIPRE<\/h2>\n\n\n\n<p>If the SAT determines that you are earning income through a REFIPRE, you must comply with specific obligations, including:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Accumulating income in Mexico<\/strong>, even if they have not been repatriated or distributed.<\/li>\n\n\n\n<li><strong>Keep separate accounting records<\/strong> for those incomes.<\/li>\n\n\n\n<li><strong>Submit informative returns<\/strong>, as established in article 178 of the LISR.<\/li>\n\n\n\n<li><strong>Demonstrate the business reason<\/strong> that justifies the use of the structure (article 5-A of the Federal Tax Code).<\/li>\n<\/ul>\n\n\n\n<p>In schemes where the LLC receives payments for services performed in Mexico and then transfers the funds as capital contributions or loans, the SAT may consider that there is a <strong>simulation or an undue tax advantage<\/strong>, especially if there is no real economic substance.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">So you can&#039;t use an LLC in Delaware?<\/h2>\n\n\n\n<p>Yes, it can be done, but it must be done with caution. The use of international structures is not illegal, but it requires:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Specialized tax consultancy in both Mexico and the U.S.<\/li>\n\n\n\n<li>Evaluate if there is <strong>obligation to accumulate income in Mexico<\/strong>.<\/li>\n\n\n\n<li>Check if there is <strong>real economic substance<\/strong>, not just on paper.<\/li>\n\n\n\n<li>Properly document the business reason, and have consistent contracts and evidence.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Conclusion<\/h2>\n\n\n\n<p>Delaware may be a valid option for expanding operations, but it can also become a red flag for the SAT if Mexican tax rules are not followed.
