Types of Companies in Mexico

Before setting up a company in Mexico, it is important to know the different legal structures in the country.

The most common types of companies in the country are the following:

  • Limited Liability Company (S. de RL)
  • Public Limited Company (SA)
  • Simplified Share Company (SAS)
  • Civil Society (SC)

Public Limited Company (SA)

The minimum partners must be 2, who are obligated until the payment of their contributions. This type of company may be managed through a sole administrator or board of directors.

To admit new partners, the consent of new partners is required; said company allows the participation of foreign partners.

Limited Liability Company (S. de RL)

This company is established with a minimum of two partners and a maximum of 50 partners, who in accordance with the Commercial Companies Law, are only required to pay their contributions.

To transfer the shares, the consent of the partners who represent the majority of the share capital must be obtained; the same applies to the admission of new partners.

This type of company allows the participation of foreign partners in the company.

Simplified Share Company (SAS)

This is the only commercial company that can be established with a single partner and through the Internet portal of the Ministry of Economy.

This type of company does not require a notary public, so it is free and can be established in approximately one week.

To register this company in the RFC you do not need to go to the offices of the Tax Administration Service (SAT), however it is essential that its shareholder or shareholders have a current E.FIRMA, so it does not admit foreigners who do not have RFC.

Civil Society (SC)

This type of company does not allow speculation, so if you are dedicated to the production and marketing of tangible goods you cannot use it. This type of company is common to provide professional services and has tax benefits for its partners.

This company is regulated by the Federal Civil Code.
